SHEIN XCELERATOR TERMS OF USE

Welcome to the SHEIN Xcelerator website (the “Site”). These Terms of Use (“Terms”) govern your use of the Site, your submission of information via our application forms, and any related communications with Roadget Business Pte. Ltd., the owner and operator of the Site and its affiliates (“SHEIN,” “we,” “our,” or “us”). This Site is intended for business-to-business use by individuals and entities interested in participating in the SHEIN Xcelerator Program.

By accessing or using the Site, including submitting information through our forms, you agree to be bound by these Terms. If you do not agree, do not use the Site or submit information.

THESE TERMS AND YOUR USE OF OUR SITE ARE SUBJECT TO BINDING ARBITRATION AND A WAIVER OF CLASS ACTION RIGHTS AS DETAILED BELOW.

1. User Capacity and Authority

By accessing or using the Site, you represent and warrant that you have full legal capacity and authority to enter into and perform your obligations under these Terms. If you are acting on behalf of a business entity, you further represent and warrant that you are authorized to bind that entity to these Terms.

2. Submissions and Program Consideration

2.1 Nature of Submissions. The Site enables you to submit information, documents, and other materials in connection with expressing interest in or applying for the SHEIN Xcelerator Program. Such submissions may include contact information, professional or business details, and creative, brand, or other materials. All submissions are voluntary; however, incomplete or inaccurate submissions may limit our ability to consider you for the SHEIN Xcelerator Program.

2.2 Ownership and License. You retain all intellectual property rights in the materials you submit. By submitting, you grant SHEIN and its affiliates a non-exclusive, worldwide, royalty-free, fully sublicensable license to host, store, review, and otherwise process your submission solely for the purposes of evaluating program eligibility, communicating with you, and fulfilling related administrative functions. We will not commercially exploit your materials without entering into a separate written agreement with you.

2.3 Representations and Warranties. You represent and warrant that: (a) you have full authority to provide the submission on your own behalf or on behalf of the entity you represent; (b) the submission is complete and accurate to the best of your knowledge; (c) you own or have secured all rights, licenses, and permissions necessary to submit the materials; and (d) the submission does not infringe, misappropriate, or violate any intellectual property, confidentiality, or other rights of any third party, and does not contain any unlawful, harmful, or malicious content.

2.4 Confidentiality and Security. SHEIN will take reasonable technical and organizational measures to protect your submission against unauthorized access, use, or disclosure. However, unless a separate non-disclosure agreement is executed, you acknowledge and agree that we do not undertake confidentiality obligations beyond those imposed by applicable law and our Privacy Policy. Do not submit any confidential information or trade secrets unless we expressly request it or a separate non-disclosure agreement is in place.

2.5 No Obligation to Contract. You acknowledge that submission of materials does not create any obligation for SHEIN to offer you a contract, partnership, or program placement, and that SHEIN reserves the right to accept or reject any submission in its sole discretion, subject to applicable law.

3. Intellectual Property Rights

All content, materials, and features on the Site, including without limitation text, graphics, logos, images, designs, software, and other works, are owned or licensed by SHEIN and are protected by applicable intellectual property laws. Except as expressly permitted in these Terms, you may not use, reproduce, distribute, modify, or create derivative works of any content from the Site without prior written authorization from SHEIN.

4. Privacy and Communications

Your use of the Site and submissions through the application forms are also governed by our Privacy Policy. By providing your information, you consent to receive program-related communications from us that are necessary to administer or respond to your application. We will only send you marketing communications if you have separately provided your consent in accordance with applicable law. You may withdraw your consent to marketing communications at any time by following the instructions provided in the communication or in our Privacy Policy.

5. Disclaimers

The Site and all related services are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, SHEIN disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. SHEIN does not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

6. Limitation of Liability

To the maximum extent permitted by applicable law, SHEIN and its affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or relating to your use of the Site or participation in the SHEIN Xcelerator Program, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if SHEIN has been advised of the possibility of such damages.

7. Indemnification

You agree to indemnify, defend, and hold harmless SHEIN, its affiliates, officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your breach of these Terms, your submissions, or your use of the Site.

8. Governing Law and Dispute Resolution

PLEASE READ THE FOLLOWING CLAUSES CAREFULLY – THEY MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

8.1 Governing Law. Except as otherwise provided in this Section 8, these Terms and any dispute or claim (whether contractual or non-contractual) arising out of or in connection with them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of laws principles. For participants located in the United States, these Terms shall be governed by the laws of the United States and the State of California, without regard to conflict of laws principles.

8.2 Initial Dispute Resolution. Before initiating any legal action, you and SHEIN agree to first attempt to resolve any dispute, claim, question, or disagreement directly through good faith consultations and negotiations. You may contact us at legal@shein.com to raise any concerns. If we are unable to resolve the matter within thirty (30) days from the date either party initiates such discussions, either party may proceed to the dispute resolution methods described below.

8.3 Binding Arbitration for U.S. Participants. If you are located in the United States, any dispute, claim, or controversy arising out of or relating to these Terms (including their formation, performance, or breach), your relationship with SHEIN, or your use of the Site shall be finally settled by binding arbitration administered by JAMS, in accordance with the JAMS Streamlined Arbitration Rules and Procedures, excluding any rules or procedures permitting class actions. The arbitration shall be conducted before a single neutral arbitrator mutually agreed upon by the parties in accordance with the JAMS Rules. The arbitrator shall have the authority to award any relief available under applicable law or equity. The arbitrator’s award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. The arbitration shall be conducted in English and, unless the parties agree otherwise, in Los Angeles County, California, or another mutually agreed location. The interpretation and enforcement of this arbitration agreement shall be subject to the Federal Arbitration Act.

8.4 Class Action and Class Arbitration Waiver. Any arbitration under this Section 8 shall be conducted solely on an individual basis, and you and SHEIN each expressly waive any right to bring or participate in any class, collective, consolidated, or representative proceeding, whether in arbitration or otherwise. If any court or arbitrator determines that this class action waiver is unenforceable, then the arbitration provisions in this Section 9 shall be deemed null and void as to the specific claim at issue.

8.5 Opt-Out Right (U.S. Participants). You may opt out of the arbitration and class action waiver provisions in this Section 8 by sending written notice of your decision to opt out to legal@shein.com within thirty (30) days of your first agreement to these Terms. Your opt-out notice must clearly state your name, the entity you represent (if applicable), and your intent to opt out of arbitration. If you opt out, neither you nor SHEIN will be bound to arbitrate disputes.

8.6 Non-U.S. Participants. If you are located outside the United States, the arbitration and class action waiver provisions in Sections 8 do not apply. Any dispute or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore, unless otherwise agreed in writing by the parties or required by applicable law.

8.7 Exclusive Venue for Litigation (Where Arbitration Does Not Apply). To the extent that arbitration under this Section 8 does not apply, you and SHEIN agree that any litigation between the parties shall be filed exclusively in the courts of Singapore, or if you are a U.S. participant who has opted out of arbitration, in the state or federal courts located in Los Angeles County, California. You and SHEIN consent to the personal jurisdiction of such courts and waive, to the fullest extent permitted by law, any right to a jury trial, except where a jury trial waiver is prohibited by law.

9. Modifications

SHEIN may modify these Terms from time to time by posting the updated version on the Site and updating the “Last Updated” date. Your continued use of the Site after such changes constitutes your acceptance of the updated Terms.
